Terms of Service

Please read these Terms of Service (“Terms”) carefully before using SummarAI (the “Service”, the “Platform”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or uploading any content, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations.

2. Account Registration and Access

Access to the Service requires registration and approval by an administrator. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, at our sole discretion.

3. Token System

The Service operates on a token-based model. Tokens are consumed when processing documents. Token costs are calculated based on document page count. Tokens have no monetary value, are non-refundable except where explicitly stated (e.g., cancelled queued jobs), and may be adjusted by the administrator at any time.

Section A — User Content, Document Uploads, and AI-Generated Outputs

This section governs all file uploads and AI processing.

A.1Scope

These terms govern your use of the document upload, analysis, summarization, and AI-assisted output features made available through the Service. By uploading any file or requesting any output, you agree to comply with this Section and with all other applicable Terms.

A.2User Content

For the purposes of these Terms, “User Content” means any files, PDFs, documents, text, data, images, prompts, instructions, or other materials that you upload, submit, transmit, or otherwise make available through the Service.

You retain ownership of your User Content, subject to the rights granted by you under these Terms.

A.3Your Responsibility for Uploaded Content

You are solely responsible for all User Content that you upload or submit to the Service.

By uploading, submitting, or processing any User Content through the Service, you represent and warrant that:

  1. (a)you own the User Content, or have obtained all rights, licenses, permissions, consents, and authorizations necessary to upload, submit, process, and use such User Content through the Service;
  2. (b)your upload, submission, and use of the User Content in connection with the Service does not and will not infringe, misappropriate, or otherwise violate any copyright, neighboring right, database right, trademark, patent, trade secret, confidentiality obligation, privacy right, publicity right, contractual restriction, or other right of any third party;
  3. (c)the User Content has been lawfully obtained by you and lawfully made available to us for the purpose of providing the Service;
  4. (d)where the User Content contains personal data, you have all necessary notices, consents, permissions, and legal bases required under applicable privacy and data protection laws;
  5. (e)the User Content is not unlawful, stolen, pirated, fraudulently obtained, confidential in breach of duty, or otherwise unauthorized; and
  6. (f)your use of the Service, and your requested outputs, comply with all applicable laws, regulations, and contractual obligations.

A.4Limited License to Process User Content

To the extent necessary for us to operate and provide the Service, you grant us a limited, non-exclusive, revocable, worldwide, royalty-free license to host, store, cache, copy, parse, index, extract, reproduce, transmit, transform, analyze, and otherwise process your User Content solely for the following purposes:

  1. (a)providing the Service to you;
  2. (b)generating summaries, study materials, and other outputs requested by you;
  3. (c)maintaining, securing, debugging, and improving the technical operation of the Service;
  4. (d)preventing abuse, misuse, fraud, security incidents, or violations of these Terms; and
  5. (e)complying with applicable law, legal process, and lawful requests from competent authorities.

Except as expressly stated in these Terms, we do not acquire ownership of your User Content.

A.5AI Processing and Third-Party Providers

The Service may use third-party infrastructure providers, subprocessors, and artificial intelligence providers to process User Content and generate outputs on our behalf.

By using the Service, you acknowledge and agree that your User Content may be transmitted to such providers solely as necessary to provide the Service, subject to our technical, organizational, and contractual safeguards.

A.6No General Rights Verification

The Service is a technology platform that processes User Content based on user instructions. We do not undertake, and are under no obligation, to verify whether you have sufficient legal rights to upload, submit, process, summarize, or otherwise use any User Content.

The fact that the Service accepts, processes, summarizes, or returns output based on User Content does not constitute:

  1. (a)a confirmation that your User Content is lawful;
  2. (b)a confirmation that you have the necessary rights or permissions;
  3. (c)a legal opinion regarding copyright, privacy, confidentiality, or other legal compliance; or
  4. (d)a waiver of any of our rights under these Terms.

You, and not the Company, determine which documents are uploaded, what prompts are submitted, what outputs are requested, and how those outputs are used.

A.7Prohibited Content

You may not upload, submit, transmit, or process through the Service any User Content that:

  1. (a)you do not have the legal right to use;
  2. (b)is unlawful, infringing, stolen, pirated, or unauthorized;
  3. (c)violates any confidentiality obligation, court order, employment duty, fiduciary duty, or contractual restriction;
  4. (d)contains personal data that you are not authorized to process or disclose;
  5. (e)contains trade secrets or sensitive business information that you are not authorized to provide;
  6. (f)is submitted for the purpose of reproducing, distributing, publishing, monetizing, or creating substitute versions of protected third-party works in violation of law; or
  7. (g)otherwise violates these Terms or applicable law.

A.8Prohibited Uses of the Service

You may not use the Service:

  1. (a)to process documents in a manner that infringes third-party intellectual property rights;
  2. (b)to generate outputs intended to serve as unlawful substitute versions of protected third-party works;
  3. (c)to evade purchasing, licensing, or otherwise lawfully accessing copyrighted or restricted materials where such use would violate applicable law;
  4. (d)to create or distribute outputs in a way that violates copyright, privacy, confidentiality, trade secret, or other legal rights;
  5. (e)to misrepresent AI-generated output as legal, professional, or authoritative advice without appropriate review; or
  6. (f)for any unlawful, fraudulent, harmful, or abusive purpose.

A.9Outputs

The Service may generate summaries, explanations, outlines, study aids, flashcards, question sets, key takeaways, or other AI-generated outputs based on User Content and user prompts (“Outputs”).

As between you and us, and subject to applicable law and these Terms, you may use Outputs generated for you through the Service. However, you acknowledge and agree that:

  1. (a)Outputs may be inaccurate, incomplete, misleading, non-unique, or unsuitable for your intended purpose;
  2. (b)Outputs may be similar or identical to outputs generated for other users;
  3. (c)Outputs may reflect limitations of the underlying models or source materials;
  4. (d)you are solely responsible for reviewing, validating, and determining the lawfulness and appropriateness of any Output before relying on or distributing it; and
  5. (e)the Service does not guarantee that any Output is non-infringing, legally compliant, or fit for a particular purpose.

A.10Educational and Study Use Disclaimer

The Service may generate study-oriented materials for convenience and educational support. Such materials are intended only as supplemental aids and are not guaranteed to replace source materials, textbooks, books, manuals, or other original works.

You are solely responsible for ensuring that your requested use of the Service, and your use of any generated study materials, complies with applicable intellectual property laws and contractual restrictions.

A.11No Training on User Content Except as Stated

Unless expressly stated otherwise in a separate agreement or product-specific notice, we do not use your User Content to train general-purpose AI models for the benefit of other customers or the public.

We may, however, process User Content as reasonably necessary to provide the Service, detect abuse, maintain system safety, comply with law, and enforce these Terms.

A.12Data Retention and Deletion

We retain User Content only for as long as reasonably necessary to provide the Service, maintain security, investigate abuse, comply with legal obligations, resolve disputes, and enforce these Terms, unless a longer retention period is required by law or expressly disclosed in our Privacy Policy or product documentation.

We may delete User Content and related Outputs in accordance with our retention schedules, technical constraints, and internal policies.

A.13Confidentiality and Sensitive Materials

You should not upload any confidential, privileged, regulated, or highly sensitive materials unless you are authorized to do so and the Service is expressly designated for such use.

You acknowledge that uploading sensitive or confidential materials may involve risk, and you remain solely responsible for determining whether the Service is appropriate for such materials.

A.14Monitoring and Enforcement

We reserve the right, but not the obligation, to monitor use of the Service for security, abuse prevention, compliance, and enforcement purposes.

We may, at our sole discretion and without liability, remove or disable access to User Content, suspend processing, reject uploads, restrict account functionality, or terminate access to the Service if we believe that:

  1. (a)User Content may violate these Terms;
  2. (b)User Content may infringe third-party rights;
  3. (c)your use of the Service may create legal, regulatory, operational, or reputational risk for us, our providers, or others; or
  4. (d)such action is necessary to comply with law or a lawful request.

A.15Notices, Complaints, and Takedown Requests

If we receive any complaint, notice, takedown request, legal demand, court order, regulatory inquiry, or other claim relating to your User Content, your prompts, or your Outputs, we may investigate the matter and take any action we reasonably consider appropriate, including:

  1. (a)removing or restricting access to User Content or Outputs;
  2. (b)suspending or terminating your access to the Service;
  3. (c)preserving records relevant to the matter;
  4. (d)contacting you for additional information; and
  5. (e)cooperating with rights holders, law enforcement, regulators, courts, or other competent authorities where required or appropriate.

A.16Repeat Infringers

We reserve the right to suspend or terminate accounts of users who repeatedly upload or process content that allegedly or actually infringes intellectual property rights or otherwise violates these Terms.

A.17Your Indemnification Obligations

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, subprocessors, service providers, officers, directors, employees, agents, and contractors from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

  1. (a)your User Content;
  2. (b)your prompts, instructions, or requested Outputs;
  3. (c)your breach of these Terms;
  4. (d)your violation of any applicable law or regulation;
  5. (e)your infringement or alleged infringement of any third-party rights; or
  6. (f)your use, publication, sharing, sale, or other exploitation of Outputs.

A.18Disclaimer of Warranties

To the maximum extent permitted by law, the Service, including all document processing and AI-generated Outputs, is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, we disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted operation, or error-free performance.

We do not warrant that:

  1. (a)the Service will verify your legal rights in User Content;
  2. (b)any Output will be accurate, complete, lawful, non-infringing, or fit for your intended use; or
  3. (c)the Service will meet your legal, academic, business, or compliance requirements.

A.19Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or related to your use of the Service, your User Content, or any Outputs.

Our aggregate liability arising out of or relating to the Service shall not exceed the greater of:

  1. (a)the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim; or
  2. (b)one hundred U.S. dollars (USD 100), if you have not made any such payments,

except where such limitation is prohibited by applicable law.

A.20Reservation of Rights

We reserve all rights not expressly granted under these Terms. Nothing in these Terms obligates us to accept, host, process, retain, review, summarize, or return output for any particular User Content.

A.21Survival

Any provisions of these Terms which by their nature should survive termination or suspension of the Service shall survive, including provisions relating to intellectual property, disclaimers, indemnification, limitation of liability, enforcement, and dispute resolution.

4. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

5. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the jurisdiction where the Company is established.
